1. Acceptance of Terms

By accessing or using Invenzz ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

2. Description of Service

Invenzz is a business management platform that provides tools for managing leads, quotes, clients, products, vendors, and business analytics. The Service includes an AI-powered assistant to help streamline your business operations.

3. Third-Party Catalog Data and Discovery Index

Invenzz operates as a search and discovery index that aggregates publicly available product catalog data, including prices, availability, and product specifications, from supplier and manufacturer websites, to help users discover, compare, and price products for their quotes.

How we collect this data:

• Public APIs and feeds where available
• Public search-engine results
• Web crawlers that respect each site's robots.txt and rate limits
• Vendor-supplied catalogs and integrations

What we do not do:

• We do not bypass passwords, paywalls, CAPTCHAs, or other technical access controls
• We do not republish, redistribute, or resell vendor catalog data as a standalone product
• We do not scrape personal data, user reviews, or anything outside publicly listed product information

Accuracy and lead-generation purpose. Catalog data is provided for informational and discovery purposes only. Pricing, availability, and specifications change frequently, and users should verify directly with the vendor before making a purchase. Where users find a product through Invenzz and proceed to buy it from the listed vendor, Invenzz functions as a referral and lead-generation channel for that vendor.

Vendor opt-out. Suppliers and manufacturers who do not wish to be indexed may contact us at support@invenzz.com to request removal. We will respond within 5 business days and remove the source from our index unless we have a separate written agreement with that vendor.

4. User Accounts

To use certain features of the Service, you must create an account using a valid invite code. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information is accurate and up-to-date

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Upload malicious code or content
• Violate any applicable laws or regulations
• Resell or redistribute the Service without authorization

6. Messaging Terms (Invenzz SMS Program)

Program Name: Invenzz SMS. Our platform enables Invenzz to send follow-up SMS messages (including appointment reminders, quote follow-ups, and customer service communications) to individuals who have submitted an inquiry and have explicitly opted in to receive SMS messages.

For Business Users (Senders)

• You will only send messages to individuals who have provided express written consent to receive SMS communications
• You will comply with all applicable messaging laws and regulations, including the Telephone Consumer Protection Act (TCPA), CTIA guidelines, and the CAN-SPAM Act
• You will promptly honor all opt-out requests
• You are responsible for the content of messages sent through your account

For Message Recipients

• Consent: SMS messages are sent only to individuals who have provided express written consent by checking an optional SMS opt-in checkbox on our contact form. SMS consent is not a condition of purchase and is not required to submit a contact form or use our services.
• Opt-Out: You can opt out of SMS messages at any time by replying STOP to any message. After opting out, no further SMS messages will be sent.
• Help: Reply HELP to any message for assistance, or contact us at support@invenzz.com.
• Message Frequency: Message frequency varies. Recurring messages may be sent based on your inquiry and ongoing communication.
• Message and data rates may apply. Check with your carrier for details.
• Carriers are not liable for delayed or undelivered messages.
• Privacy: Phone numbers and SMS opt-in information are not shared with third parties or affiliates for marketing purposes. See our Privacy Policy for details.

7. Data Ownership

You retain ownership of all data you input into the Service, including but not limited to business information, client data, quotes, and communications. We do not claim ownership of your content.

You grant Invenzz a limited license to use, store, and process your data solely for the purpose of providing the Service to you.

8. AI Assistant

The Service includes an AI-powered assistant. While we strive for accuracy, the AI assistant:

• May occasionally provide incorrect or incomplete information
• Should not be solely relied upon for critical business decisions
• Does not constitute professional advice (legal, financial, etc.)

9. User Verification Obligation

You acknowledge that prices, SKUs, product specifications, availability, and other product data displayed in or generated by the Service, including data produced by the AI Assistant and data aggregated from third-party catalog sources, may contain errors, may be cached or out of date, or may be the result of automated extraction or AI generation.

Before placing any order with a vendor, completing any purchase, or delivering any final quote, invoice, or commitment to your customer or end-user, you must independently verify all material product details (including SKU, price, availability, and specifications) directly with the vendor.

Invenzz is not responsible for losses, costs, or liabilities arising from purchases, quotes, or commitments you make in reliance on Service output without such verification.

10. Payment and Billing

Certain features of the Service may require payment. By subscribing to a paid plan, you agree to:

• Pay all applicable fees as described at the time of purchase
• Provide accurate billing information
• Automatic renewal unless cancelled before the renewal date

11. Limitation of Liability

To the maximum extent permitted by law, Invenzz shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

12. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance or updates that temporarily affect availability.

13. Termination

We reserve the right to suspend or terminate your account if you violate these Terms. You may also terminate your account at any time by contacting support.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.
